Terms & Conditions

These Terms & Conditions ("Terms") are a legally binding agreement between you, whether individually or on behalf of a business entity ("you"), and Dongguan DianYa Packaging MFG. Co., Ltd. ("DianYa Packaging," "we," "us," or "our") governing your access to and use of our services and any associated communications, quotations, and transactions (collectively, the "Services").

By engaging with DianYa Packaging for any business purpose, you confirm that you have read, understood, and agree to be bound by these Terms.

Our services and all quotations, sample requests, purchase orders, invoices, and any resulting contracts are intended solely for business-to-business (B2B) transactions involving custom packaging solutions including wooden boxes, leather boxes, paper boxes, and plastic boxes for luxury goods, jewelry, cosmetics, electronics, and other premium products.

You represent that you are at least 18 years old and have the authority to bind the entity you represent to these Terms. Our services are designed for manufacturers, distributors, retailers, and brand owners seeking professional packaging solutions.

We may revise these Terms at any time by updating the "Last Updated" date. Your continued engagement with our services after any revisions constitutes acceptance of the new Terms.

Please review the Terms whenever you engage with DianYa Packaging to ensure you understand the Terms that apply to your business relationship with us.

All content related to our services—including design concepts, technical drawings, product specifications, manufacturing processes, marketing materials, logos, and trademarks ("Content")—are owned by or licensed to DianYa Packaging and are protected by copyright, trademark, and other intellectual-property laws.

Custom designs created specifically for clients remain the intellectual property of the respective client upon full payment, while our manufacturing processes and general design methodologies remain proprietary to DianYa Packaging.

No Content may be copied, reproduced, redistributed, or exploited for commercial purposes without our prior written consent, except for the limited license granted in Section 5 below.

Provided you comply with these Terms, we grant you a non-transferable, non-exclusive, revocable license to:

• Access and use our services solely for legitimate B2B procurement purposes
• Use product specifications and technical data provided by us for your internal business evaluation
• Share approved marketing materials with your internal team for project planning purposes

This license terminates automatically upon any breach of these Terms.

All product descriptions, technical specifications, lead times, and prices provided are quotations only and subject to confirmation in our formal Proforma Invoice or Sales Contract. Final specifications will be detailed in approved technical drawings and material specifications.

Minimum order quantities (MOQs), Incoterms 2020, payment terms, quality specifications, and delivery schedules will be negotiated and recorded in writing for each order. Standard MOQs typically range from 500-1000 pieces depending on product complexity.

We reserve the right to correct typographical errors or inaccuracies in product information, pricing, or specifications at any time without prior notice, provided no binding contract has been executed.

Unless otherwise agreed in writing, standard payment terms are:

• New Clients: 50% deposit upon order confirmation, 50% balance before shipment
• Established Clients: 30% deposit upon order confirmation, 70% balance before shipment
• Sample Orders: 100% payment in advance

All payments shall be made by Telegraphic Transfer (T/T). All bank fees are borne by the buyer. Accepted currencies include USD, EUR, and CNY.

Overdue amounts accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower.

Goods are delivered according to the Incoterm stated in the contract (EXW Dongguan, FOB Shenzhen, CIF destination port, etc.). Risk of loss and title transfer according to the agreed Incoterm conditions.

Standard production lead times range from 15-35 days depending on order complexity and quantity, plus shipping time. Rush orders may be accommodated with additional charges and subject to production capacity.

Delivery dates are estimates only; we are not liable for delays caused by force majeure events, customs clearance, transportation disruptions, or other circumstances beyond our reasonable control.

All products undergo rigorous quality control following ISO 9001:2015 standards. You must inspect goods within 7 days of receipt and notify us in writing of any non-conformity, providing detailed photos, measurements, or test reports as evidence.

Our packaging products carry a 12-month limited warranty against manufacturing defects under normal commercial use and proper storage conditions. This warranty covers structural integrity, material defects, and workmanship issues but excludes normal wear, misuse, or damage during shipping.

Our liability is limited to replacement of defective goods or issuing a credit note for future orders. We are not responsible for consequential damages, lost profits, or indirect losses arising from product defects.

Returns are only accepted for manufacturing defects confirmed by our quality team. All return shipping costs are borne by the responsible party as determined by our investigation.

You agree not to engage in any activity that:

• Violates applicable laws, regulations, or industry standards
• Attempts to reverse-engineer our proprietary manufacturing processes
• Interferes with our business operations or customer relationships
• Collects competitive intelligence through deceptive means
• Infringes our intellectual property rights or trade secrets
• Uses our services for illegal, harmful, or unethical purposes

You represent that all information provided to us is accurate and that you have the authority to enter into binding agreements on behalf of your organization.

Any non-public information exchanged during our business relationship, including but not limited to product designs, pricing structures, customer lists, and manufacturing processes, shall be kept confidential and used solely for performing the contracted services.

We implement appropriate technical and organizational measures to protect personal and business data in accordance with applicable privacy laws. Customer data is used only for order processing, communication, and service improvement purposes.

Both parties agree to maintain confidentiality for a period of 5 years after the termination of the business relationship, unless otherwise specified in a separate Non-Disclosure Agreement.

All materials and processes comply with relevant environmental and safety standards including FSC certification for wood materials, RoHS compliance for electronic components, REACH regulations for chemical substances, and FDA approval for food-contact applications where applicable.

We maintain current certifications and can provide relevant compliance documentation upon request. Clients are responsible for ensuring our products meet their specific market requirements and end-use regulations.

Any special compliance requirements must be communicated during the quotation phase to ensure proper material selection and certification documentation.

You agree to defend, indemnify, and hold DianYa Packaging harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising out of:

• Your breach of these Terms or any contract with us
• Your misuse of our products or services
• Your violation of any third-party rights, including intellectual property rights
• Any false or misleading information provided by you
• Your failure to comply with applicable laws and regulations

This indemnification obligation survives termination of these Terms and any business relationship.

These Terms and any contract formed hereunder shall be governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.

Neither party shall be liable for any failure or delay in performance under these Terms due to force majeure events including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemic, labor strikes, material shortages, or other circumstances beyond the reasonable control of the affected party.

The affected party must promptly notify the other party in writing of the force majeure event and use reasonable efforts to minimize its impact and duration.

If a force majeure event continues for more than 90 days, either party may terminate the affected contract upon written notice.

We may modify our services, pricing, or operational procedures at any time with reasonable notice to existing clients. Significant changes affecting ongoing contracts will be communicated at least 30 days in advance.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect.

The invalid provision shall be replaced by a valid provision that most closely approximates the intent and economic effect of the original provision.
